Is TokenTempo a law firm?
No. TokenTempo is a software service. Documents generated are templates. You should review them with a licensed attorney before relying on them.
Why Montana?
Montana has no state income tax on qualified C Corp earnings, low filing fees, privacy-friendly filings, and business-friendly courts — compelling structural advantages for early-stage startups.
Do I have to live in Montana?
No — you can form a Montana C Corp from anywhere in the country. We serve as your registered agent in Montana (Year 1 included on Express, available on Build), routing through NovCae Management LLC for now. Once TokenTempo Inc. is itself commercial-registered with MT SOS, filings move directly to TokenTempo.
What's included in my formation fee?

How fast can you file?
Express files Montana same-day. Delaware filings go through expedited service — turnaround depends on what the state is processing that week, so we don't promise a specific day count (see the dedicated Delaware question below). Build files Montana within the week. Atlas takes 1-2 business days for Delaware, Clerky 2-3 business days — both Delaware only. Montana same-day on TokenTempo is the fastest path on the market.
Why Montana over Delaware?
Most founders won't make it to where Delaware matters. Get your idea out there NOW — Montana gives you a real C-Corp same-day at lower cost. If you eventually take a venture round and your investor demands Delaware, reincorporation is a known move. Pay for Delaware complexity the day a real investor asks for it, not on the off-chance one might.
What if my investor demands Delaware?
We file Delaware on Express or Build at the same price. Just choose Delaware in onboarding. Delaware filing is expedited — turnaround depends on what the state is processing that week, so we don't promise a specific day count. Montana stays our same-day default because we control the timing there. Most founders don't have an investor demanding Delaware yet; the ones who do know who they are.

The full venture-backable document set: Articles of Incorporation, Bylaws, Restricted Stock Purchase Agreement (RSPA), 83(b) election (filed for you — electronic via the IRS portal, plus optional certified mail backup with audit-log evidence), Confidential Information & Invention Assignment Agreement (CIIAA), Indemnification Agreement, and the Equity Incentive Plan. Same documents your future Series A counsel would recreate.
Does TokenTempo replace my attorney?
No. TokenTempo handles the documentation work that would otherwise be billable. Your attorney still owns the parts only an attorney can own — bespoke advice, complex cap-table fact patterns, anything specific to your situation. Houston makes you smart enough to ask the right questions when your attorney bills you. Founders shipping on TokenTempo spend less on legal because they show up to attorney calls knowing what they want.
Can I get a refund?
Before we initiate your Montana SOS filing, yes. After that, fees are non-refundable — the state fee has already been paid on your behalf.
